1. General Provisions

These General Terms and Conditions (hereinafter the "GTC") govern the relationship between ETERNITY & SPARK, s.r.o. (hereinafter the "Provider") and the client ordering services (hereinafter the "Client") for the delivery of websites, e-shops, information systems and related services through the NOBAMO platform.

By submitting an order or signing a contract, the Client confirms that they have read these GTC and agree to them.

2. Subject of Performance

The Provider undertakes to create a work for the Client according to the specification agreed in the quotation or contract. The subject of performance may include:

• Design and creation of a website or e-shop
• Development of a custom information system
• Migration of an existing website to a new platform
• Integration with external services (marketplaces, payment gateways, carriers)
• Maintenance, hosting and technical support

3. Order and Conclusion of the Contract

The contract is concluded by the Client's written confirmation of the quotation (by email or signature), or by submitting an order through the contact form on nobamo.org and its subsequent confirmation by the Provider.

The quotation is valid for 30 days from the date of issue, unless otherwise stated.

4. Price and Payment Terms

The price of the work is set out in the quotation. The Provider is a VAT payer. VAT is added to prices in accordance with applicable legislation.

Standard payment model:

• 50% advance payment before work begins
• 50% on delivery of the completed work

The invoice due date is 14 days from issue, unless otherwise agreed. In the event of late payment, the Provider has the right to suspend services.

5. Delivery and Acceptance

The delivery date is stated in the quotation or contract. The Provider notifies the Client of completion by email. The Client has 7 business days to accept the work or submit comments.

If the Client does not respond within 7 business days of the notification, the work is deemed to have been properly delivered and accepted.

6. Copyright

Upon full payment, the rights to use the work transfer to the Client to the extent agreed in the contract. The Provider reserves the right to use the work in its portfolio, unless otherwise agreed.

The source code of the NOBAMO platform remains the intellectual property of the Provider. The Client receives a license to use the platform, not ownership of it.

7. Complaints and Warranty

The Provider provides a warranty on the functionality of the work for 6 months from delivery. The warranty covers code defects and functionalities agreed in the specification.

The warranty does not cover errors caused by third-party intervention, improper handling, or changes in external services (marketplace APIs, payment gateways).

8. Hosting and Maintenance

Hosting and maintenance are optional services provided for a monthly fee. Hosting terms are governed by a separate agreement. The notice period for hosting services is 30 days.

9. Withdrawal from the Contract

The Client may withdraw from the contract at any time before the work is completed. In such case, the Client is obliged to pay a proportional part of the price for the work already performed.

The Provider may withdraw from the contract if the Client fails to provide the necessary cooperation for more than 30 days after a written request.

10. Final Provisions

These GTC are governed by the laws of the Slovak Republic. Disputes shall be resolved primarily by agreement; failing that, by the competent court of the Slovak Republic.

The Provider reserves the right to amend these GTC. The current version is always available at nobamo.org/legal.
